A share certificate is a document recording details of shares held in a company where that form of ownership evidence is used. The templates below illustrate certificate layouts. Preparing a certificate is a records task, not a promise that purchasing shares will generate profit.

Choosing the right format
Check the company’s jurisdiction, constitution and recordkeeping process before adopting a sample. Some ownership records are maintained electronically. A template does not establish ownership without a properly authorized transaction and supporting company records.
Details to include
- Issuer and shareholder’s correctly recorded details
- Share number, class and other required identifiers
- Certificate reference, issue date and authorized execution
How to use the template
- Reconcile the proposed certificate with the company’s share records.
- Confirm required wording and signing authority.
- Record issuance and retain an appropriate copy under the company’s process.
Worked example
A certificate draft might identify a shareholder and a specified number of ordinary shares. Do not invent a nominal value or share class because it appears in a sample.
For investment context, Investor.gov explains risk and return. A certificate does not remove investment risk.
